This Service Agreement (“Agreement”) is entered into between:

The individual or business purchasing services from /*axdesigns*/
(“you”, “your”)
By placing an order, paying a deposit, or instructing us to begin work, you agree to the terms below.
1. Definitions
For the purposes of this Agreement, “Domain” means the internet domain name (e.g. example.co.uk) registered for the Client's website through a third-party domain registrar.
2. Services Provided
We provide fixed-price, productised website design services as described on our website or in your order confirmation.
Services may include (depending on package):
- Website design and build
- Page layout and content structure
- Basic SEO setup
- Contact or enquiry form setup
- Mobile-responsive design
- Deployment to a live domain
Anything not explicitly listed in your chosen package is not included.
3. Scope of Work & Revisions
3.1 Scope
The scope of work is strictly limited to the package you purchase.
Requests outside this scope (for example: extra pages, redesigns, custom functionality, copywriting, ecommerce features, or integrations) are out of scope and may require an additional fee or a separate agreement.
3.2 Revisions
Unless stated otherwise:
- Two (2) reasonable revision rounds are included
- Revisions apply to existing content only
- Revisions do not include complete redesigns or change of direction
Additional revisions are chargeable.
4. Client Responsibilities
To deliver your project on time, you agree to:
- Provide required content (text, images, logos) promptly
- Respond to requests for feedback within a reasonable timeframe
- Confirm approvals clearly
Delays in providing materials or feedback may delay delivery dates. We are not responsible for delays caused by missing or late client input.
5. Payment Terms
5.1 Fees
All prices are fixed and agreed upfront.
5.2 Payment Schedule
Unless stated otherwise:
- A non-refundable deposit of fifty percent (50%) is required before work begins.
- No work will commence until the deposit has been received and cleared.
- The remaining balance is due before final delivery or site launch.
Domain registration fees are not included in the project price and must be paid in full by the client in advance.
Where a client requests the purchase of a domain with a higher-than-standard registration cost,
/*axdesigns*/ will notify the client of the cost prior to purchase and obtain approval.
Domain registration fees are non-refundable once a domain has been registered, regardless of project status.
5.3 Late Payment
If payment is not received, work may be paused and final files or site access may be withheld.
6. Cancellations & Refunds
6.1 Client Cancellation
If you cancel after work has begun, the deposit is non-refundable
and any completed work may be invoiced proportionally.
Domain registration fees already incurred are non-refundable.
6.2 Our Right to Terminate
We reserve the right to terminate this Agreement if you fail to
communicate, are abusive or unreasonable, or do not make payments.
In such cases, completed work up to that point will be chargeable.

7. Intellectual Property
7.1 Ownership
Once full payment is received, you own the final website content and design. We retain ownership of tools, templates, and reusable components.
7.2 Portfolio Use
We reserve the right to display your completed project in our portfolio and reference the project for promotional purposes.
8. Third-Party Services
We may use third-party services (such as hosting platforms, form providers, or analytics tools).
We are not responsible for downtime, failures, or changes to pricing or terms of third-party services.
9. SEO & Performance Disclaimer
While we follow best practices, we do not guarantee search engine rankings, traffic, leads, or sales. SEO performance depends on many factors beyond our control.
10. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential losses. Our total liability is limited to the amount you paid for the services.
11. Confidentiality
Both parties agree to keep confidential any sensitive information shared during the project, unless required by law.
12. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Acceptance
By placing an order, making payment, or instructing us to begin work, you confirm that you have read, understood, and agreed to this Service Agreement.
